Terms and Conditions

Please read these Terms and Conditions carefully before using the Dogwood & Deathcap Service operated by Dogwood & Deathcap LLC ("us," "we," or "our"). By accessing the Service, you agree to be bound by these Terms.

1. Professional Services & Advisory

Dogwood & Deathcap provides specialized regional observation, strategic advisory, and operational scaffolding (the "Services").

  • Engagement: All professional engagements are governed by these Terms and any specific Statement of Work (SOW) or Master Services Agreement (MSA) executed between the parties.

  • Independent Witness: Our advisory is based on regional expertise and "Intellectual Honesty." We provide observations as an independent party; the implementation of any advice is the sole responsibility of the client.

2. Intellectual Property (IP)

All content, features, and functionality remain the exclusive property of Dogwood & Deathcap. This includes:

  • Advisory Assets: All operational templates, frameworks, strategic blueprints, and "Field Notes."

  • Brand Identity: The Dogwood & Deathcap name, logo, and design language.

  • Limited License: When you purchase an Operational Template or Framework, you are granted a non-exclusive, non-transferable license for internal use only. You may not resell, redistribute, or publicly post these proprietary frameworks without express written permission.

3. Products and Digital Goods

  • General Sales: We reserve the right to limit or cancel quantities of products or services at our discretion.

  • Digital Goods: Access to digital assets and templates is granted upon payment. Due to the nature of intellectual property, these sales are final (refer to Refund Policy).

  • Apothecary Disclaimer: Our tinctures and natural products are not intended to diagnose, treat, or prevent any disease. These statements have not been evaluated by the FDA. Use at your own risk.

4. Community Reinvestment (The 10% Fund)

We commit 10% of profit to local community initiatives (e.g., the Bedford Transparency Project). This is a voluntary mission-led reinvestment and does not constitute a tax-deductible donation by the client or a contractual guarantee tied to individual purchase prices.

5. Limitation of Liability & Indemnification

  • Scope: Dogwood & Deathcap shall not be liable for any indirect, incidental, or consequential damages resulting from your use of our advisory, templates, or physical goods.

  • Professional Reliance: Our advisory and feasibility reports are intended to assist in decision-making but do not replace legal, financial, or engineering counsel.

  • Indemnity: You agree to defend and hold harmless Dogwood & Deathcap LLC from any claims or expenses arising out of your breach of these Terms or your use of the Service.

6. Termination

We may terminate or suspend your access to our Service or project portals immediately, without prior notice, for conduct that we believe violates these Terms, including but not limited to unauthorized distribution of our IP or abusive behavior.

 
7. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Virginia. Any legal proceedings shall be brought exclusively in the courts of or near Bedford, Virginia.
